General Terms and Conditions of Impala Executive Services

These terms and conditions (the “Terms”), apply to all participants of events offered by Impala Executive Services. Your registration for an event indicates your agreement on these terms.

1. Scope

The following General Terms and Conditions apply to all events organised by Impala Executive Services. Girenhaldenweg 11, CH-4126 Bettingen-Basel.

2. Registration

Registration for events shall take place via the relevant online registration platform, emails sent to Impala Executive Services, signed invitation cards. Registration shall not become legally binding until written confirmation is sent (by letter or e- mail).

3. Organisation

3.1 General provisions

By registering, the participant agrees to the present General Terms and Conditions and to any further security, access or other operational rules issued for the relevant event and undertakes to adhere to these and to instructions given by employees of Impala Executive Services (or its third-party agents). The participant acknowledges that they may be excluded from the event if they fail to adhere to these rules and instructions. In the event of such exclusion, the costs of the event ticket shall neither be compensated nor refunded.

Impala Executive Services reserves the right to substitute other speakers for those announced and to make necessary changes to the event program while safeguarding the overall character and quality of the event. The costs of the event ticket can neither be compensated nor re-funded as a result of such changes.

3.2 Cancellation due to public health concern or postponement of the event

If the event has to be cancelled due to Covid-19 the participation fee will be fully refunded within a period of 30 days of the cancellation of the event.

For any other reason the ticket purchased shall automatically be valid for a new event date. Tickets for this new event may then not be exchanged without contacting Impala Executive Services (please read substitution rule under point 4) or refunded.

3.3 Interruption of the event

If an event has to be interrupted as a result of force majeure, external influences (demonstrations, influence of violence, threats by third parties) or other circumstances for which Impala Executive Services is not responsible, tickets purchased can neither be exchanged nor refunded.

If an event is interrupted for other reasons by Impala Executive Services, the participant will be fully refunded for the ticket within a period of 30 days of the event.

4. Cancellation by participant or Substitution

Participants may nominate a substitute (needs to meet the minimum participant requirements defined by Impala Executive Services) to attend an event in his or her place, subject to the approval of Impala Executive Services.

If no substitute is nominated in compliance with the requirements (e.g. C-Level, Board member), the participant will be liable for the full fee. Nominations of cancellations and substitutions should be sent in writing to Impala Executive Services contact as soon as possible (and in any event at least two business days before the event).

In the case of events lasting more than one day, the first day of the event shall be deemed to be the beginning of the event. These withdrawal and cancellation provisions also apply to absence as a result of illness, accident or similar causes.

5. Data protection

Impala Executive Services attaches great importance to data protection and confidentiality. We shall use your personal data for the purpose of providing services in relation to events, including, but not limited to event registration, communications, event access, dining, administration (including before, after and during the Event), invoicing and payment, delegate lists, post‐event feedback, quality checks, participant verification, research and polling.

In order to fulfil our obligations to you in relation to the event, we may share relevant personal data with presenters, event venue management, organisers.

For some events a networking app will be offered to connect with other participants. This app will only contain the name, function and company name of participants. The information will not be stored and be deleted directly after the event.

6. Multimedia recordings

In the context of the event, Impala Executive Services may make image, sound and/or video recordings. These recordings are used by Impala Executive Services for its own marketing purposes among others – whether on the Internet, in publications, on social networks or at events of Impala Executive Services as an organiser or operator.

Because of the exclusivity of Impala Executive events the participant has to grant his or her consent for image, sound and/or video recordings in which he or she is recognizable.

Impala Executive Services reserves the right to restrict image, sound and/or video recordings by participants during the event.

7. Exclusion of liability

To the fullest extent permitted by law, Impala Executive Services shall be exempted from all liability for any direct or indirect loss or damage, including consequential loss or damage, that may be suffered by the participant in connection with the organisation and operation of an event.

In particular, Impala Executive Services shall not be liable for any loss or damage or consequential loss or damage that may be caused by cancellation or interruption of the event. In all instances, any liability that arises out of any contractual, tortious or other claim shall be limited to the costs of the event ticket. No further compensation or indemnity of any kind shall be payable. Any claims for damages or other claims for monetary compensation on the part of the participant shall lapse within one year of the claim in question being discovered.

8. Applicable law and place of jurisdiction

The performance of Impala Executive Services, the events it operates and the present provisions shall be governed exclusively by Swiss law. The courts of general jurisdiction in Basel shall have exclusive jurisdiction.
